Tracergram acts as a data processor where applicable under the General Data Protection Regulation (GDPR). For customers processing personal data in the European Economic Area (EEA), our Data Processing Agreement (DPA) forms part of these Terms and applies automatically. Business Continuity Disclaimer: You expressly understand and agree that Tracergram shall not be held responsible or liable for any business losses, lost advertising spend, missed conversions, campaign performance degradation, or any other commercial impact resulting from service unavailability, interruptions, or technical issues, regardless of the cause or duration. You are solely responsible for implementing appropriate backup solutions and contingency plans for your business operations.

Our total aggregate liability for any claims related to the Service shall not exceed the total amount you paid to Tracergram in the twelve (12) months immediately preceding the event giving rise to such claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that conversion tracking will be 100% accurate, as it depends on third-party platforms (Meta, Telegram) and user behaviour.

You agree to indemnify, defend, and hold harmless Tracergram, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

We may, at our sole discretion and without prior notice, suspend or terminate your account and access to the Service for any reason, including but not limited to violation of these Terms, suspected fraudulent or abusive activity, or extended periods of inactivity. You may delete your account at any time.

Tracergram shall not be liable for any failure or delay in performance of its obligations under these Terms caused by events beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, internet or telecommunications outages, third-party service failures (including Meta, Telegram, hosting providers, and payment processors), cyberattacks, or government actions. During such events, Tracergram's obligations shall be suspended for the duration of the force majeure event.

We may modify these Terms at any time. Material changes will be communicated via email or a notice on our website at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms are governed by the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the competent courts of the Netherlands.
